Palmarés Advisors is a different kind of mergers and acquisitions advisor with a dedicated focus on technology companies, a specialty in the mobility space, and a track record of success. Our principals, Clyde Foster, Tom Matthews and Korak Mitra, have extensive technology backgrounds and strong track record of acquiring, building, and unlocking the full value of diverse technology organizations.

We founded Palmares to fill a critical void in the technology M&A sector. Few, if any firms, existed to focus solely on innovative but early stage tech players that would normally fall into the Series B fund raising cycle. These companies, normally with a market value of $10-50M, often face a challenging fund raising environment and require strategic alternatives. Many investment banking firms do not have partners with real-world operational expertise and that dramatically limits their ability to assist emerging technology companies with their value proposition and strategic positioning.

Our clients capitalize on our extensive hands-on operational/turnaround expertise and the ability to navigate the often treacherous waters of funding, mergers and acquisition.

The Palmarés Process:

The Palmarés Process was developed by our principals based on 50+ years of tech industry experience and dozens of acquisitions and sales transactions. It is based on three critical elements:

• Investigative Immersion
• Value Mining
• Precision Matching & Marketing

At least one Palmarés principal works The Process alongside client company owners and management teams to fully understand the organization and ultimately create the most compelling value proposition before moving on to presenting the company to the market.

Investigative Immersion Phase:

Our Investigative Immersion phase involves spending detailed time to understand the client’s business, operations, roadmap, GTM, partners, cap table, management /investor motivations and existing relationships that might be synergistic to desired financial outcomes. Then we jointly create a target list of prospective strategic acquirers. Often, from just the Investigative Immersion phase, we can make recommendations they improve the business and facilitate the acquisition. In several of our engagements, we have recommended increasing the pricing as a result of the work done during the Investigative Immersion phase. In another case, we recommended a different channel strategy. These recommendations would be done if we were coming as a turnaround management team or we were acquiring these businesses ourselves.

Value Mining Phase:

Value Mining a client company’s true value proposition it is a critical step towards obtaining early and serious interest from potential buyers. From our background in sales and marketing, we bring an outside-in perspective to uncovering and positioning the true value of our client companies. Once unearthed and polished, we weave the value proposition into external discussions with potential buyers through the Precision Marketing and Matching phase.

Precision Marketing and Matching Phase:

We use Precision Marketing and Matching techniques to identify and entice motivated prospective buyers who can appreciate and enhance our client’s value. After initiating early dialogue with the target executive at each prospective acquiring company, a Palmarés principal begins detailed discussions to vet interest and develop a short list. As a result of our operational background, Palmarés can conduct the first round of meetings without involvement from client company executives. The Palmarés Process nets a 50%+ hit rate of target buyers entering due diligence.

The Palmarés Process is in stark contrast to the standard I-Bank approach which often consists of a financial analyst-centric business review followed by a financial modeling exercise and generic value proposition development. This normally then leads to an impersonal spam marketing approach to determining interested parties. Aside from sending exactly the wrong message to the market, this approach does not often secure the right acquirers and consumes significant C-level team time for introduction meetings of nebulous value.

Palmarés also offers counsel on short-term business improvement techniques based on proven corporate turnaround experience, Palmarés principals can often identify rapid change techniques that will help your business overall and make the company more attractive to potential suitors. If desired our principals can even present your company in first round discussions and accurately qualify a potential acquirer before having to engage the management team.
